Personal guarantee on business loans
· Legal document or tool
Watch outA common mistake, trap or scam.
A personal promise to repay a business loan if the LLC can't, putting the owner's own assets on the line.
See it on the Personal Finance & Estate map →How it works
A personal guarantee makes the owner liable if the borrowing LLC or partnership defaults, so the lender can pursue personal savings, homes and other assets. Terms range from full recourse, to capped or 'burn-off' guarantees, to non-recourse loans with 'bad-boy' carve-outs that spring to full liability for fraud, unapproved transfers or a voluntary bankruptcy. Guarantors often waive California's anti-deficiency protections in the loan papers, and community property can answer for either spouse's debts.
Why it matters for you
Watch out: it erases the separation an LLC provides, and a revocable living trust shields nothing. Have a real-estate attorney review guaranty terms and carve-outs before signing or refinancing.
Red flags and protection
California Civil Code Sec. 2856 lets guarantors waive defenses, and lender forms routinely do; Family Code Sec. 910 makes community property liable for debts either spouse incurs during marriage.
Watch out for
Courts split on how broadly carve-outs apply; Michigan's 2011 Cherryland ruling triggered full recourse for mere insolvency until the legislature stepped in.
Connections (2)
▸Personal guarantee on business loans puts personal assets behind Commercial loans: DSCR, balloons & refinance riskWatch out
How they connect
Many commercial loans, especially from banks, require the owner to guarantee all or part of the debt personally. If a balloon can't be refinanced and the property sells short, the lender can pursue the guarantor for the gap. A refinance is the natural moment to negotiate a guarantee down, capped or released.
When it applies
Common in bank and SBA loans; the SBA requires guarantees from anyone owning 20% or more. CMBS and life-company loans usually limit them to 'bad-boy' carve-outs.
How sure?
Loan documents spell out the guarantee; lawsuits on guaranties surged after 2008 as lenders pursued owners of failed properties.
Watch out for
How far California's anti-deficiency rules still protect guarantors who signed waivers is litigated case by case and depends on how the lender forecloses.
▸Personal guarantee on business loans bypasses the liability shield of Family LLC / family limited partnershipWatch out
How they connect
An LLC shields members from its debts, but a personal guarantee is a separate promise by you to repay the loan if the LLC can't. Commercial real estate lenders often require one, either full or limited to 'bad-boy' acts like fraud. Against that lender the LLC shield does nothing, and the guarantee can bind your estate.
When it applies
Signed at loan closing by the managing member or principals; common in bank and SBA loans, while non-recourse loans usually carry 'bad-boy' carve-out guarantees.
How sure?
Loan and guaranty agreements create direct personal liability; California courts enforce guarantees separately from the borrowing entity's obligations.
Watch out for
California's anti-deficiency rules and guarantor waivers (Civil Code Sec. 2856) are technical; how they apply to a given guarantee needs a lawyer.
