How it works

Debt funds raise money from pensions, insurers, endowments and wealthy investors; mortgage REITs such as Blackstone Mortgage Trust, Starwood Property Trust and Arbor Realty sell shares on the NYSE. Both add leverage by borrowing from banks through repo and warehouse lines and by selling CRE CLO bonds. They close faster and lend more than banks, usually non-recourse, at SOFR plus about 3–5 points plus fees. Their share grew after 2008 as Basel III and examiners pushed banks back.

Why it matters

They fill gaps banks leave, at a higher cost, and depend on borrowed money themselves. Individual investors can own mortgage REIT shares, which pay high but volatile dividends.

Facts, rules and data

Mortgage REITs' SEC filings, CRE CLO deal reports, Fed data on bank loans to non-bank financial firms, and CBRE and MBA lender surveys.

Debates and risks

Regulators debate whether bank loans to these lenders move CRE risk off banks' books or simply hide it from view.

▸Bridge loans: short-term, floating-rate transition financing are a specialty of CRE debt funds and mortgage REITs: the non-bank lendersFact, law or data

The connection

Banks face capital charges and examiner scrutiny on half-leased or under-renovation buildings, so non-bank lenders took over that niche. Debt funds and mortgage REITs make bridge loans, then fund them with bank repo lines and CRE CLO bonds, earning the spread between the loan rate and their own cost.

When and why

The US market since about 2010; CRE CLO issuance, their main funding route, peaked in 2021–22.

How we know

Mortgage REIT annual reports show loan books dominated by floating-rate bridge loans; CRE CLO reports track the collateral monthly.

Debates and risks

Whether non-bank bridge lenders stay disciplined, or loosen terms again as they compete for deals, is watched closely.

▸CRE debt funds and mortgage REITs: the non-bank lenders are the real estate arm of Private credit fundsFact, law or data

The connection

Private credit means loans made by funds rather than banks. Most lends to companies; CRE debt funds are the property slice, often run by the same managers, such as Blackstone, Apollo, Ares and KKR. Both raise money from pensions and insurers and fill gaps left by banks.

When and why

Grew after 2008; private credit reached roughly $1.5–2 trillion worldwide by 2024–25 (estimates vary), with real estate debt a smaller share.

How we know

Fund filings, Preqin and IMF estimates of private credit's size, and the Fed's Financial Stability Reports.

Debates and risks

Regulators and investors debate whether private credit spreads risk safely or builds hidden leverage that could strain the banks that lend to it.

▸CRE debt funds and mortgage REITs: the non-bank lenders are partly organized as Real estate investment trusts (REITs)Fact, law or data

The connection

A mortgage REIT is a listed company that holds property loans instead of buildings. It avoids most corporate tax by paying out at least 90% of taxable income, so dividends run high. It borrows through repo lines and CRE CLOs, so its share price swings when loans sour.

When and why

US mortgage REITs such as Blackstone Mortgage Trust, Starwood Property Trust, Apollo Commercial Real Estate Finance and Ladder Capital, mostly NYSE-listed.

How we know

REIT rules in Internal Revenue Code Sections 856–860 and the companies' SEC filings. Investors can buy their shares or REIT funds; this is information, not advice.

Debates and risks

Analysts differ on whether mortgage REITs' loan values fully reflect office losses; several cut dividends in 2024.
